Nielsen will acquire ad verification and measurement firm DoubleVerify for $2.15 billion in an all-cash deal, the companies announced.
- Deal terms: $13.60 per share in cash, a 30% premium to DoubleVerify's 60-day volume-weighted average price as of 5 August
- Approval: Cleared by both companies' boards of directors, subject to DoubleVerify shareholder and regulatory approval
- Timeline: Expected to close by the first quarter of 2027
- Scale: The combined company is projected to generate more than $4 billion in annual revenue
"A Stronger, More Agile" Measurement Platform
Nielsen's chief executive called the deal part of the company's "fundamental transformation," saying it positions Nielsen to track "the full media lifecycle, from discovery and planning through measurement and outcomes." DoubleVerify's existing services, including invalid traffic detection, brand safety and viewability measurement, are expected to continue operating as independent standards used by advertisers worldwide, with the combined company aiming to cut the complexity of reconciling data across multiple measurement vendors.
