Nielsen To Acquire DoubleVerify In $2.15 Billion Deal

Nielsen Holdings and DoubleVerify have entered a definitive agreement under which Nielsen will acquire DoubleVerify in an all-cash deal.

  • Deal value: Approximately $2.15 billion enterprise value
  • Payout: $13.60 per share in cash
  • Premium: 30% over DoubleVerify's 60-trading-day volume weighted average price as of August 5, 2026
  • What it adds: DoubleVerify's invalid traffic detection, viewability and brand suitability verification layered onto Nielsen's audience measurement platform

Combining Measurement With Verification

Karthik Rao, Chief Executive Officer of Nielsen, said the deal extends the company's reach "deeper into the digital media industry, ensuring that the spend flowing between buyers and sellers is reaching real people in brand-suitable environments, through verified channels." He added that the combined company aims to give publishers, advertisers, agencies and platforms "a truly independent, end-to-end partner that connects trusted audience intelligence with verified media delivery."

Mark Zagorski, Chief Executive Officer of DoubleVerify, said, "DoubleVerify's MRC-accredited quality signals, in combination with Nielsen's deduplicated cross-screen audience measurement, will fuel genuine market innovation, a single currency that scores media on both audience delivery and media environment quality."

Unifying A Fragmented Verification Stack

Advertisers currently have to reconcile audience, context and delivery-quality signals across separate vendors before deciding whether a campaign actually reached real people in a safe environment. Nielsen says the combination folds those signals into one integrated platform, extending its reach across the roughly $240 billion digital advertising segment as budgets continue shifting from linear toward digital, streaming and AI-driven channels.
